2026 Proposed Chapter Bylaws Update

We are excited to announce that we are proposing a change to the chapter bylaws to align with Global PMI in advance of the New Membership Model! We will have a vote this November, but would like to make the changes available to all members in advance.

You will find many similarities to our current bylaws, with a few key changes. The key changes are:

How Board roles are assigned Board members are elected, and then the Board elects from among themselves. Members elect Board members, then the Board determines the “best fit” for each role. Each person is limited to three (3) consecutive terms in the same position and on the Board. The process of assigning leadership roles gives the Board greater discretion over who serves in each position.
President vacancy If the President cannot finish the term, the remaining Board members vote to fill the President position. The Secretary automatically assumes the President's duties and office for the remainder of the term. Avoids confusion or disagreement should the President step down.
Special meeting quorum A special meeting requires 3% of the voting membership present in person to constitute a quorum. A quorum is simply members in good standing who are present in person. There is no longer a 3% minimum. Lowers the threshold for conducting business and allows progress regardless of the turnout.
Annual meeting notice At least 45 days' notice required. Reduced to 30 days' notice. Gives the Board more flexibility while still giving adequate notice.
Number of board members required to request a board meeting Written request from two (2) Board members can require a Board meeting. Requires a written request from three (3) Board members. Ensures the majority of the Board is in agreeance.
